and/or serviced all contractual, litigation and transactional
needs. Provided advice and direction on corporate governance,
disclosure and accounting requirements, and prohibited/authorized
transactions to Officers, Directors and majority Shareholders.
Litigation - Experience representing both plaintiffs
and defendants from a variety of businesses in all types
of commercial disputes: tortious interference with contracts
and prospective business relationships; breach of fiduciary
duty; theft of trade secrets and proprietary information;
non-competition covenants; defamation and business disparagement;
unfair competition; minority shareholder oppression;
breach of contract; fraudulent and negligent misrepresentation
in business transactions; and representation of technology
companies in intellectual-property litigation.
Real Estate - Commercial purchases and sales,
generally including financing. Obtaining, negotiating
and documenting regulatory approvals for State &
Federal (SBA/MBE/WBE) fundings and guarantees for loans.
Commercial office and retail leases. Contract reviews,
